11. Indemnification

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact Via 313 at [email protected] and attempt to resolve any dispute, claim, or controversy informally. You and Via 313 agree to negotiate in good faith to resolve the dispute within thirty (30) days of the initial notice. If the dispute cannot be resolved informally within this period, either party may proceed to formal dispute resolution as described below.

13.2 Binding Arbitration

Except for claims that qualify for small claims court and except as otherwise provided herein, you and Via 313 agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Services, shall be resolved by binding arbitration rather than in court. The arbitration shall be conducted by a nationally recognized arbitration organization under its then-current rules.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You acknowledge and agree that you and Via 313 are each waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding.

13.3 Class Action Waiver

ANY ARBITRATION OR OTHER LEGAL PROCEEDING SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you and Via 313 each waive any right to a jury trial and agree that such claim must be brought on an individual basis only, and not on a class, consolidated, or representative basis.

14. Term and Termination

These Terms shall remain in full force and effect while you use the Services. Via 313 may, in its sole discretion and without prior notice, immediately terminate or suspend your access to all or part of the Services for any reason, including but not limited to:
